General Conditions
1. Purpose.
1.1. About this document. This document contains the full text of the General Conditions Contract and Use of Services of ConfirmSign (http://www.confirmsign.com). These Contract General Conditions and Use of Services, without prejudice to any agreements or particular conditions where applicable, constitute a contract between You and ConfirmSign, and they are all applicable to the use You do of the Services provided by ConfirmSing. ConfirmSign is a Website property of ConfirmSign, Private Limited Company. The registration as User and use of ConfirmSign services implies the unconditionally acceptance of General Conditions of any of the conditions contained in the Contract General Conditions and Use of the Services along the version published at the time the User contracts the services. Contract of the provided services by ConfirmSign, according to these Contract General Conditions and Use of Services, and with the specified characteristics along the particular offer or modality Customer claims, implies the Customer right to use an e-mail personal account or any other new services ConfirmSign provides at Customer disposal, always according to the terms listed in Contract General Conditions and Use of Services, as well as for particular cases, in "Technical Section" or “Particular Offer" properly signed and, duly accepted by the Customer. In “your profile" all documentation related to your conditions can be found.
1.2 . About changes to these Contract General Conditions and Use of Services. These Contract General Conditions and Use of Services are deposited in a notary public. ConfirmSign, Private Limited Society reserves the right to modify unilaterally and, without any previous formal notice, any of the conditions listed in the Contract General Conditions and Use of Services, in the desirable considered method, informing users about modifications developed through its Web and its User panel and, attached to "your profile", in order to be known and, once again, accepted by the User. Equally, they would be deposited in a notary public.
1.3. Safeguarding of General Conditions and Use of Services. If any of the terms from these Contract General Conditions and Use of Services is considered ineffective or invalid, the other Conditions would remain in the accorded terms.
2. Service Description
2.1. What is ConfirmSign? ConfirmSign is an online platform that allows its customers to create, store and, send contents using telematic services. ConfirmSign provides necessary data to conform a proof with legal validity in offline world. User undertakes to use services according to Law, public policy or accepted principles of morality, so with approved in these Contract General Conditions and Use of Services. Consequently, he remains in the obligation to not to use the services with any illegal purpose and/or contrary to that approved in these General Conditions, prejudicial rights and /or ConfirmSign interests, Private Limited Society and/or third parties or that in under any way can prejudice the services and/or their corporative image.
2.2. Working of the ConfirmSign System.
A. Entering of contents and/or files in the platform. The first step that follows the process is the contents entering and/or files in the system, under the format and, filling in the information system requests at every step according to the used product. Taking in account the possibility of obtaining the document’s notary public certification generated by System itself, together with the information process, the following Warning would be attached in every content entered in the system "According to the approved in the valid regulations, public notary would not be necessary always when the communication content affects people's intimacy or when it is contrary to Law, public policy or accepted principles of morality."
B. Contents processing. The second step consists on the processing of entered platform contents. ConfirmSign uses an encryption filter to not to by altered by the author and/or recipient and, it is laid out in a pattern which guarantees the reading of contents. User must validate this processing, as this would be registered in ConfirmSign documentary database
C. Generation of receipts. When user validates the processing, the system generates some notes to the content: timestamp (date and time), IP, Operating System and Application from which is developed.
D. Issue of Certificates, CFSData document. ConfirmSign issues in real time and by user request (through online downloads), CFSData downloads with all notes and receipts generated and registered in ConfirmSign Documentary database for a particular sending or registration. User can download it to his desktop so that he can send it or print it when necessary. It certifies the content of a sending and/or register and, all possible movements which could be generated in the System.
E. Archive. All contents processed validated by the user, including the receipts generated in every registration, are archived in ConfirmSign documentary database during a minimum period of 5 years. This term can be modified by users request in audit receipt to ConfirmSign in an inferior term to the 6 months previous to the ending of the five years.
F. Public Notary Certification of the System Running. ConfirmSign would periodically leave a public affidavit to customers disposal describing the perfect running of the previously described System. For this purpose, ConfirmSign, Private Limited Society would require a notary public platform verification which checks all cycles described in the previous sections and stating that they follow the content inalterability protocol as well as timing and data attached in every report issued by the system itself.
G. Public affidavit of the CFSData document. ConfirmSign would also leave at Customers disposal the possibility of obtaining an undoubted accreditation of the document content given by the System itself with all process information for particular communications and/or registrations duly identified through the assigned code by the System itself.
1. For this purpose ConfirmSign, Private Limited Society would leave at users' disposal, at the online platform and its private area, all the information as well as the notaries protocol to be followed in order to obtain the document affidavit given by the System itself for a particular communication or registration, as stated in ConfirmSign documentary bases.
2. This service is subject to a price fixed by the notarial tariff not covered by the approved fee and, which would be directly paid to user required public notary.
3. According to the approved in the valid regulations, notarial intervention would not proceed when:
A. Communication content affect people’s intimacy or when contrary to Law, public policy or accepted principles of morality.
B. When referred to the message, its content cannot be reproduced using some of the following programmes: Microsoft Word 97, 2000 and XP / Microsoft Excel 97, 2000 and XP / Microsoft PowerPoint 97, 2000 and XP / Internet Explorer V 6.0 / Acrobat Reader V 6.0 / Windows Media Player 10.0
C. It has macros or can adopt any other form that makes possible its content changes automatically along the time. D. It is protected with keyboards or any other access control systems which avoid its reproduction (opening).
2.3. Who gives these Services? ConfirmSign.com is a Web service property of the Mercantile Entity ConfirmSign, Private Limited Society, with T.I.N. nº B70194394, with registered address in Avenue Concepción Arenal, number 21, 1st floor, right door, Oleiros (A Coruña), registered in Mercantile Register of A Coruña, $. Located in Néveda street, 4, Santa Cruz, Oleiros (15179), A Coruña.
3. Accounts
3.1. Capacity to have an Account. A. In order to being empowered to contract and use our services, User must be a natural person, of legal age and, with enough legal capacity to contract, according to his personal legislation, or being a natural person properly constituted and, duly convened, according to Law to operate in market and having the legal capacity to be related to these General Conditions. B. Complete duly and correctly our registration process to open an Account.
3.2. Account Opening. In order to complete the registration process and opening an Account, the User must: Fill in the mandatory fields, being indispensable a valid e-mail. The e-mail and password, both together, all called "ConfirmSign ID" and allow User to have access to his Account and use the Services. B. 3.3. Closure or restriction of the Account use. User can close his account at any time by writing an email to info@confirmsign.com or making use of his Customer area. ConfirmSign reserves the right to close an Account or restrict its functionalities, without advance notice to User and, always when there is any suspicion or establishment by ConfirmSign that the Account is used for illegal activities or opposite to the approved in the contract between the User and ConfirmSign. ConfirmSign reserves the right to close an Account or restrict its functionalities, if fee payments are not refund during the agreed time-bounds. Account closure implies the loss of User access. Cancellations of accounts created on special offers would be entitled to penalties every special offer describes.
4. Authentication.
In order to the User have access to his Account and use the Services, he can use ConfirmSign agreed or available Authentification methods: ConfirmSign ID: requires the e-mail and password used in registration process. They must be validated through a response in a valid e-mail. In case of "ConfirmSign ID" You are responsible for the password custody, contacting us (by e-mail addressed to info@confirmsign.com) in case of theft, loss or improper use by third parties. Otherwise, you would be responsible for any consequences or damages they could cause due to an improper or fraudulent use.
5. Fees and credit.
ConfirmSign would charge the Customer for the benefit of the Services, the current prevailing fees as well as the amount originated by confirmation of membership for the services, according to that specified in the particular offer or modality Customer has chosen. Fees can be increased with legally applicable taxes. ConfirmSign could modify applicable fees giving notice to Customer with no less than fifteen calendar days notice ; If Customer continues using the Services given by ConfirmSign after its new fees communication, would imply Customer’s tacit acceptance of such new fees
6. Way of payment.
ConfirmSign would invoice the Customer, with the periodicity specified in the special offer or modality the Customer has selected, listing the different components of the final fee, the amount he has to pay for services assistance. Customer must choose, for payments due date, between local clearance account in an account at his name, or given a credit or debit card number where the correspondent amounts would be charged at the payment date indicated at the invoice. Customer authorised ConfirmSign to apply the amounts Customer pays to ConfirmSign for the extinction of any due and payable debt and pending of payment that Customer has previously incurred ConfirmSign independently of corresponding one or the other. Moreover, Customer authorises ConfirmSign to automatically compensate and at the concurrent amount the due and payable debts that can reciprocally exists between Customer and ConfirmSign independently of the particular corresponding debts service ConfirmSign gives to Customer. In case of insufficient Credit at the payment, the service would not be activated and a warning for the User who the payment corresponds, would be created
7. Data protection / Security.
ConfirmSign develops the treatment of Users personal in application of Directive 95/46/CE, of the European Parliament and Council, October 24 1995, concerning the protection of legal persons with regard to the treatment of personal data and on the free moving of such data, as well as the Organic Law of 15/1999, December 13, de Personal Character Data Protection and its implementing regulations. By one side, in the User registrationprocess minimum data for the membership acceptance and service use are requested, necessary information, which is required for management and maintenance of relationships with users, in order to communicate them the news or existent changes. Such information, together with IP address from the computer you access and cookies session (which are cancelled when navigator is closed), is kept and managed by ConfirmSign with the correspondent confidentiality, applying the computer security measures set in the previous regulation to prevent access or wrongful of personal data, alteration, deterioration or loss. This data would not be supplied to third parties except in legally foreseen cases, with no prejudice for users to be empowered to, at any time, exercise his access, cancellation or rectification of their rights according to such data, by requesting to the following the e-mail address info@ConfirmSign.com. ConfirmSign would only treats data associated to document according Users instructions (responsible for data) and with the purpose of guarantee its storage and access by the User or by the persons or entities expressly authorised by him, including security copies and data recovery tools or systems provisions .
User could exercise his access, rectification, cancellation rights at any time as well as his opposition to his personal data in the expected terms in O/L 15/1999 of Personal Character Data Protection and in RD 1720/2007 begin_of_the_skype_highlighting 1720/2007 end_of_the_skype_highlighting which approves the Regulations of Organic Law development. 8. Industrial and Intellectual Property.

Contents reproduction, transformation and distribution is prohibited, so any decompiling or reverse engineering out of the visualization, reproduction, edition or transformation for the use and/or integration of templates or document patterns at the ConfirmSign platform. Under no circumstances it would be allowed the taking out, reutilization and/or exploitation of such contents, formulas, methods or systems that imply contrary acts to those considered a regular exploitation, particularly with business or promotional purposes, on the margin of ConfirmSign service or that could prejudice moral rights or ConfirmSign exploitation, or its users. 9. Responsibility and guarantees.
9.1. About the general running of ConfirmSign. ConfirmSign guarantees the system running regarding to lack of mistakes or programming defects, compilation, repetitive serious designs, as well as custody of information located at their servers. ConfirmSign would respond beyond the legal limits allowed by the Spanish regulations, except damages result from an accident, use or unduly application, not allowed, or unexpected, and so for any others, direct or indirect, consequent, accidental or special, including but not limited to, any resulting damage or loss of earnings, work interruption, breakdown, failing or loss, or for any claim by third parties as consequence from the mentioned above. It must be considered that the quality and speed to server access depends on, your computer equipment (hardware and software), your telecommunications provider or your Net connection, ConfirmSign would not be responsible for abnormal running, failings or mistakes, direct or indirect, which could be caused to the User computer system or its documents or files stored, caused or erased from:
1. Your computer system capacity or quality or the presence of a virus in the computer User used for access or use of contracted services.
2. Your Internet connection or access.
3. A wrong running of your navigator or applications installed in your system, or by the use of their versions which are not updated or which not have the correspondent user licence.
10. Maintenance and service updating.
ConfirmSign reserves the right to develop, at any time, modifications and updating giving service, its contents, configuration, availability and information presentation, so these Contract General Conditions and Use Services, with no prejudice of vested rights, as well as cancel temporary the access to develop any kind of maintenance action or improvements, with no kind of claim according to this concept by its erased direct or indirect concepts.
11. Applicable law and forum.
These Contract General Conditions and Use Services would be applied and interpreted in all their terms according to Spanish regulations, and, in its defect by the European Union. Through their acceptance , User refuses to any possible correspondent forum, except in those cases where is not possible by the Ministry of Law, it shall be adjudicated to jurisdiction and authority of A Coruña city Courts, for the solution of any conflict which could arise from the relationship with ConfirmSign Contract General Conditions and Services Use.

Log files, IP addresses and information about your computer

Communication with other users
An invitation sent to non-user will list your email address and your name in the heading of the message.
Exclusion of liability

Closing Your Account
You can also close your account through the ConfirmSign website. If you close your ConfirmSign account, we will not remove your name nor other personally identifiable information from our publicly viewable database. We may retain certain data contributed by you if we believe it may be necessary to prevent fraud or future abuse, or for legitimate business purposes, such as analysis of aggregated, non-personally identifiable data, account recovery, or if required by law. When you request that we close your account from the ConfirmSign website, you accept at least 5 years of data storage in our database.
Your obligations
As a User, you have the obligation to pay all outstanding fees and charges relating to your use of the ConfirmSign Service before termination. If the charges are refused for any reason, ConfirmSign retains the right to suspend or terminate your account, or limit the use you make of your account.

Children are not eligible to use our service and we ask that minors (under the age of 18) do not submit any personal information to us or use the service.
